For prior generations of lawyers, this sharing could involve creating a “dataroom” – a physical space somewhere on the globe filled with items for disclosure. Parties would pilgrimage to these datarooms to perform due diligence for the transaction. When inside the dataroom, cameras and photocopies were typically banned, marking or highlighting documents was a serious offense, and cell-phones (to the extent they existed) were usually forbidden.
