About Braden W. Johnson

Braden is a member of Parr Brown’s Business and Finance, Bankruptcy, Workouts and Creditors’ Rights, Corporate Finance, and Real Estate groups. He focuses his practice in commercial debt and equity transactions, but also has strong experience with general corporate matters.

Equity Transactions
Braden assists individuals and entities with commercial transactions, mergers, acquisitions, and corporate restructuring. Working on both stock and asset deals, and on the buy- and sell- side, gives Braden comprehensive knowledge and broad experience in the market. Braden has navigated complexities like escrow arrangements, holdbacks, special indemnities, earnouts, transferring intellectual property with the USPTO, buying/selling foreign subsidiaries, and much more. Braden has handled every facet of transactions from preliminary structuring and term sheet negotiation to post-closing adjustments. Braden excels at reviewing/marshalling due diligence, drafting documents, and negotiating complicated provisions. Braden also assists businesses in retaining founders or key employees on a post transaction basis via employment relationships, consulting arrangements, and rollover equity. Braden’s experience with debt finance is also a significant asset in his M&A practice – particularly where financing is being provided by sellers, banks, private equity, or other third-party sources.

Debt Transactions
Braden has worked with top national banks and private lenders in closing sophisticated real estate, commercial, securities, and asset backed loans. He also has experience in workouts, mezzanine financing, tribal lending and public finance. Braden is involved in all stages of the lending process, including due diligence, loan documentation, negotiation, closing, post-closing issues and loan modifications. With this experience, Braden has developed a knowledge of Article 9 of the Uniform Commercial Code, mechanics liens and the state construction registry, inter-creditor relationships, loan forbearance, commercial leasing, SBA lending, syndications, title insurance, tax advantaged financing, lending to estate planning vehicles and nonprofit entities, and much more.

General Corporate Matters
Braden has assisted many companies with incorporation, adoption/amendment of governing documents, reinstatement, conversion, fictitious names, and much more. Braden has assisted large and small companies in working-through their capitalization and governance needs. Braden has also reviewed and drafted a broad variety of agreements for sophisticated commercial parties including detailed contracts for contractors and subcontractors, joint ventures, master service arrangements, and legal opinions.

Prior to joining the firm, Braden worked for Snell & Wilmer L.L.P. in Salt Lake City, Utah.  Braden is a member of the Utah and Colorado State Bar. He obtained his Juris Doctorate degree from University of Colorado School of Law, his Bachelor of Arts degree in Political Science from Brigham Young University.

Mr. Johnson has been recognized in the 2022 edition of Utah Business magazine as one of Utah’s Legal Elite lawyers in the area of business & corporate law and Mountain States Super Lawyers as a Rising Star for 2022.

Braden’s Representative Transactions:

  • Analyzed due diligence in a $300mm merger in which 35 subsidiaries merged into a parent entity
  • Drafted and negotiated loan documents in a $150mm acquisition of 20 office buildings in Denver, CO
  • Represented a national bank issuing a $125mm term loan secured by 19 properties across six states
  • Participated in a debt restructure for a skilled nursing company with $50mm in debt spread among four lenders
